MusicJuice is a website that is here to act as a portal for you the Artist and the Sponsors to meet up and create the opportunity for music magic to happen.
When the artist has sold all 10000 parts for CD creation, the artist will have $100,000 budget to produce their CD.
When the artist has sold all 10000 parts for Tour creation, the artist will have $150,000 budget to promote and create their Tour.
After recording the CD the Artist will share in the revenue from the online advertisement on MusicJuice and sales from the CD as well as digital downloads.
After completing the Tour the Artist will share in the revenue from the online advertisement on MusicJuice and ticket sales of the Tour as well as sales of the Tour DVD.
The MusicJuice program is an online program available worldwide and to all nationalities. Please read the read all the terms and conditions below and agree to them before continuing.
1. The Conditions will be implemented and in effect while the Artist is in the MusicJuice program, in accordance with the Conditions and the Agreements. However, termination of the participation of the Artist will leave the licensing or transfer of rights to MusicJuice unaffected. Besides, conditions which should survive termination of the participation of the Artist on the basis of their nature, shall remain in full force and effect.
2. Changes of these terms and conditions of use are specially indicated on the website and notified in writing, by e-mail, to registered users of MusicJuice. In case the user does not object to such changes within two weeks after receipt of the notification, they are deemed to have been accepted. In case of a change of the general terms and conditions, the user is separately notified on the right of objection and the legal consequences of non-objection.

4. Any general terms and conditions of the Artist or any other general and/or special terms and conditions shall not apply or are hereby expressly rejected.
5. If the Artist consists of more than one individual (band), the applicant confirms, that she / he will fill in the registration form in the name and in full authority of and for all band members. The band members shall then furthermore include one contact person of these individuals on the Registration Form, followed by the names of the individual members of the group.
2. Personal details, Artist
2.1 The Artist must be at the age of 18 to join the MusicJuice program. MusicJuice has the discretion to request for prove of age if we feel needed. The Artist will be required to provide MusicJuice the information to prove their age if they are in question.
2.2 The Artist guarantees that their joining of the MusicJuice program and actions on the site does not violate any applicable law or regulation and indemnifies and holds MusicJuice harmless for any claims or damages resulting in their participation on the site.
2.3 The Artist guarantees that all information submitted in the Registration Form are truthful and accurate at all times. MusicJuice has the power to verify the information that you have filled in the registration with you and ask for prove but MusicJuice is not obliged to do so.
2.4 MusicJuice is not responsible or liable for any false or unlawful information that you provide in regards to the Artist's age as well as other personal data and information you provide in the registration form or on your artist page.
3. Artist's rights before reaching their Parts Sold Goal
After Agreement to the Terms and Condition and Registration and before achieving the goal the Artist will have the following rights:
3.1 The Artist will create his/her own profile page this page will be following the standard format that MusicJuice has already created for the Artist. The artist can include their biography, videos, photos, text and other information that will allow them to promote themselves to the public. The artist however can not include and paid commercial banners or advertisement of third parties on their profile page. The Artist will also be able to upload 3 demos onto their profile page for the public to stream their music and help generate fans.
3.2 By uploading the demo, the Artist gives MusicJuice the permission and right to stream their music to visitors to the site.
3.3 The artist is responsible for the music they upload and ensure that it does not violate any copyright material, MusicJuice is not responsible for any illegal use of other copyright material and thereby the Artist will take full responsibility and ownership for all uploads he/she will do.
3.4 The Artist can leave the MusicJuice program at any time. If the Artist wants to leave, the Artist will inform MusicJuice immediately in writing by sending an e-mail to info@MusicJuice.net.
3.5 The Artist may join other record companies any time before they have reached the Goal, however once you have reached your own you must complete your Album and/or Tour before doing so.
4. Artist' rights after reaching the goal
4.1 Once the goal for either 10,000 parts sold for CD or 10,000 parts sold for Tour. MusicJuice will provide the funding of $100,000 for CD creation and/or $150,000 for Tour creation. The CD budget will include the expenses of the following activities: 1) Tools needed to complete the CD, including the fees for a Studio, Manager, producer and mastering. 2) Creation of 10,000 Special Editions of the CD, 3) Postage for the Special Edition CD to your Sponsors. MusicJuice will set the total budget to ensure it does not reach beyond $100,000. The Tour creation budget will include the expenses of the following activities: 1) Tools needed to create the promotional material for the tour, including the fees for a promotion company, a tour creation company as well as, Manager and producer. 2) Creation of 10,000 Special Edition DVD of the Tour. 3) Postage for the Special Edition DVD. MusicJuice will set the total budget to ensure it does not reach beyond $150,000
4.2 The Artist is responsible to write and compose all Tracks and has all controls over the lyrics and music. By Joining the MusicJuice Program, the Artist must allow the premium part holders preview over your unreleased tracks as well as take the premium parts opinion in the many facets of your album including choosing the songs to put on the album as well as CD cover, however the final decision is the Artist decision to make in the end.
On the Tour side, the Artist will be responsible for the songs they will perform on Tour, to write and compose all material that will be performed. By Joining the MusicJuice Program, the Artist must allow the premium part holders sneak preview over your Tour, as well as take the premium parts opinion on the many facets of the Tour such as promoting material design and songs to perform, however the final decision is the Artist decision to make in the end.
4.3 Being part of the MusicJuice program you must provide time to conduct videoconferencing and other special appearance to your premium part holders this will be set up with MusicJuice, the amount of time this will take will be reasonable to not delay your CD/Tour creation.
4.4 The Sponsors of the Artist will receive one Special Edition of the CD/DVD per Part they own in the Artist.
4.5 A minimum of three of the Artists Tracks will be available for free on the Download portal of MusicJuice. The Tracks will continue to be included and free for downloading on the Download Portal, as long as the Artist will be listed on this portal.
4.6 The Artist may purchase the regular version of the CD from MusicJuice. The current price is $5(plus shipping) however this price may change due to costs and/or exchange rates, MusiceJuice may adjust this price at any time. The regular version of the Tour DVD may be purchased from MusicJuice at $8(plus Shipping) however this price may change due to costs and/or exchange rates, MusicJuice reserve the right to adjust this price at any time.
4.7 The Artist shall receive 1/3 of all net revenues made by music sale and/or Tour sales. This includes, digital downloads and actual CD products as well as fees received by MusicJuice for licensing the master for outside use, such as but not limited to, movies and commercials. On the Tour side it will include Tour ticket sales, DVD sales and other licensing fees MusicJuice receive because of the by product of this Tour. All sales from the MusicJuice website and third parties will apply the same rule.
4.8 The Artist shall receive 1/3 of the advertisement revenue generated on MusicJuice. The share of this revenue will be determine by the market share (# of downloads) of each artist on the program.
4.9 Payments from the revenue stream listed above will be credited to the Artist Balance on MusicJuice at the end of each calendar quarter. The amount will be listed out on the Artist Summary Page.
4.10 The Artist may withdraw money from their Balance as long as it has a value of more than $1 and transfer it to his/her own bank account or credit card. The Artist may withdraw money by clicking on the 'Pay Out' button on their Artist Summary Page. The cost for each withdrawal is $1. Once the request is submitted the money will be transferred within four weeks.
4.11 The parties agree all payments will be made in CAD.
4.12 Taxes, Interest and/or IRS Penalties. It is hereby acknowledged by the Artist that the Artist shall be fully responsible for any and all taxes, interest and penalties arising from receipt by the Artist of any remuneration from MusicJuice. In addition to the general indemnification granted elsewhere by the Artist to MusicJuice, the Artist hereby agrees to indemnify and hold MusicJuice, its officers, directors, shareholders, predecessors, successors-in-interest, employees, agents, subsidiaries and affiliates, harmless from any demands, any withholding tax on capital, loss, liability claims or expenses (including attorneys' fees), made against MusicJuice by any third party due to, or arising out of or in connection with, Artist's uses of the Site.
5. Artists' Duties after reaching the goal
5.1 Once the Artist reaches its goal in either the CD/Tour creation, the Artist can not leave the MusicJuice program and the obligations, this include, recording of your CD and/or preparing and performing your Tour. MusicJuice has the decision and power to decide whether an Artist may leave or postpone the recording and/or tour, without liability for MusicJuice.
5.2 The Artist must perform a special web performance that will be set up by MusicJuice for your first 3000 part owners, you will also need to perform parts of your CD/Tour online to your premium part holders as well, there will be a minimum of 2 online performance just for the premium part owners once you have reached your goal and before your CD/Tour is completed. The Artist must commit time to be in several interactive web conference chat for your first 500 part owners as well as for the premium part owners. There will be a minimum of 5 web conference that will be held from the point you have reached your goal to the release of your CD/Tour with your premium part holders.
5.3 The Artist will need to make time for photo shoot and autograph many items for the first 1000 part owners as well as premium part holders. MusicJuice has the discretion to add in extra items that the Artist will need to perform or do for the premium part owners and/or other part owners these will all be reasonable actions, such as autographs, blogs, photoshoot and other additional items. If the Artist fails to compile MusicJuice has the rights to terminate their membership in the program and request compensation for MusicJuice's lost due to the Artist failure to comply.
5.4 Within a period of 6 months after achieving the Goal, the Artist shall record the CD exclusively with MusicJuice. MusicJuice shall at its sole discretion, but after consultation with the Artists, appoint a studio, producer and A&R manager to the Artist and bear the costs related to this creation. For the Tour, MusicJuice shall have sole discretion, but after consultation with the Artists, appointment of the promotion company, Tour Manager and other important personal and bear the cost related to this creation from the set budget that was raised.
5.5 After achieving the Goal, the Artist shall cooperate with and sign all documents necessary – particularly the Title agreement and the Publishing agreement to realize or formalize the Agreements and the Assignment the exploitation, reproduction and publishing rights thereof.
5.6 The Artist will provide MusicJuice with the repertoire for the CD, exclusively written and composed by the Artist. These Track(s) shall not contain cover tracks. The repertoire will be provided to MusicJuice at the latest one (1) month after achieving the Goal.
5.7 The Artist shall refrain from writing and/or composing texts containing excessively racist, violent, harassing, insulting, incorrect, discriminatory, hurtful or otherwise wrongful or unlawful content. If the Artist violates his/her obligations under this Section, MusicJuice is entitled to refuse the recording of the specific Track(s) and demand the delivery of one of more new Tracks within a reasonable period, or terminate the participation of the Artist in the MusicJuice program, without liability of MusicJuice.
6. Profile page Policy
6.1 The artist is able to include the biography and demo as mentioned earlier on their profile page on the MusicJuice.net website, MusicJuice will provide the Artist with a password. This password will be strictly personal and confidential. The Artist is solely responsible to maintain the confidentiality of the password. The Artist shall not disclose the password to third parties, nor will he/she provide third parties access to the webpage with the purpose to include or change information on the webpage.
6.2 The Artist shall include the Demo for streaming on his/her profile page according to MusicJuice's instructions.
6.3 The Artist is solely responsible for the contents of his/her profile page. The Artist shall refrain from any photographs or text containing excessive nudity, pornographic, racist, violent, harassing or otherwise wrongful or unlawful content. Besides, the Artist shall refrain from any insulting, incorrect, discriminatory, hurtful or otherwise wrongful or unlawful remarks. MusicJuice is entitled to remove specific photographs or texts contrary to this Section at all times, without liability.
6.4 The Artist shall inform MusicJuice immediately if he/she suspects any unauthorized use or access of the password.
6.5 The Artist is not entitled to include (paid) commercial Banners or advertisements of third parties on his/her webpage, neither before or after the Goal is achieved.
7. Protection of intellectual property
7.1 The artist agrees not to infringe the intellectual and industrial property in relation to brands, tradenames, trademarks, copyrights of MusicJuice, and notably the program and the website, and not to distribute, modify, reproduce or use in another way the brands, designs and copyrights. All the brands and trademarks that are possibly protected by third parties and are mentioned on the Internet offer are unrestrictedly subject to the provisions of the labeling and property laws in force.
7.2 All rights related to the Demo, including intellectual and industrial property rights like copy- and neighbouring rights, will belong to the Artist.
7.3 Notwithstanding the rights of the Artist under Section 9.2, MusicJuice is entitled to have the Demo included on the Artist's profile page in such a way that Visitors are able to take notice of the Demo tracks through streaming. As far as needed, the Artist herewith explicitly grants MusicJuice unrestricted permission to include the Demo tracks on the Artist's profile page for the intended purposes.
7.4 All rights related to the CD tracks, including intellectual and industrial property rights like copy- and neighbouring rights and Master rights, shall exclusively be vested in MusicJuice, in accordance with the terms and conditions of the Title Agreement. Besides, Recording, Reproduction and Exploitation will take place in accordance with the Title Agreement.
7.5 All publishing rights related to the CD tracks shall exclusively be vested in MusicJuice, in accordance with the terms and conditions of the Publishing Agreement.
7.6 The Artist herewith grants MusicJuice free and unrestricted permission to use his/her name, Artist name, portrait, biography and all other relevant personal details, in relation to the MusicJuice program and the promotion of the MusicJuice program. This permission will end if and as soon as the Artist withdraws from the MusicJuice program before achieving the Goal. If the Goal is achieved and the CD is recorded, MusicJuice will have unrestricted entitlement to use the name, Artist name, portrait, biography and all other relevant personal details of the Artist for free, for the exploitation of the CD tracks, in the widest sense, worldwide and for an indefinite period.
8. Guarantees, warranties and indemnifications
8.1 The Artist shall act in such a way that he/she will not violate the Agreements in any way.
8.2 The Artist guarantees that he/she is fully entitled to the Demo tracks and indemnifies and holds MusicJuice harmless for all claims related thereto.
8.3 The Artist guarantees that he/she is fully entitled to enter into the Agreements and indemnifies and holds MusicJuice harmless against all third party claims related thereto.
8.4 The Artist shall not violate Section 7.5 and 8.3 and indemnifies and holds MusicJuice harmless against all third party claims related thereto.
8.5 Each party indemnifies the other party against all claims of third parties as a result of gross negligence or intent by the indemnifying party with respect to the performance of any activities under the Conditions and/or the Agreements.
8.6 MusicJuice is not responsible or liable for non-accessibility of the MusicJuice website (www.MusicJuice.net) or thereto related webpages, such as the Artist's webpage, for whatever reason.
9. Liability
9.1 Parties are liable towards each other for damages which are the result of imputable failures to comply with the Conditions, notwithstanding their other rights, and subject to the terms of the Conditions.
9.2 Parties' liability on account of imputable failure to comply with the Conditions shall only arise if the claiming party immediately and validly notifies the other party in writing of his/her defaults and sets that party a reasonable period of time to remedy the failure and that party, after this period, still imputably fails to comply with his/her obligations.
10. Privacy Policy
10.1 The Privacy Policy of MusicJuice will be applicable. This Privacy Policy is incorporated into the Conditions by this reference thereto.
11. Termination
11.1 Until the Goal is achieved the Artist is entitled to withdraw from the MusicJuice program and therefore terminate the Conditions and/or the Agreements at any moment for whatever reason, subject to Section 5.2.
11.2 MusicJuice may terminate the participation of the Artist in the MusicJuice program with immediate effect without notice of default or judicial intervention being required and without any further legal liability towards the Artist in the following situations, and not limited thereto: if the Artist or his/her statutory representative(s) has not filled in the Registration Form truthfully; if the Artist's profile page contains any photographs or texts contrary to Section 8.3. Before termination MusicJuice will at its sole discretion decide whether specific photographs or text can be removed to avoid termination, without liability of MusicJuice; if Tracks written or composed by the Artist contain texts or compositions contrary to Section 7.5; if the Artist has been given notice of default and remains in default after having been provided with a reasonable term to fulfill his/her obligations; for urgent cause, in accordance with the relevant statutory provisions.
11.3 Termination of the participation of the Artist in the MusicJuice program will leave the licensing or transfer of rights to MusicJuice unaffected.
12. Unpredictable Circumstance
12.1 If an unpredictable circumstance occur neither of the parties shall be liable for any delay or non-compliance with his/her obligations under the Conditions if he/she is unable to comply.
12.2 Parties will inform each other immediately in writing in case of unpredictable circumstance which effects the MusicJuice program or the Artist's participation in the program. If the situation of unpredictable circumstance has lasted for more than 30 (thirty) days, parties shall consult whether this unpredictable circumstance is expected to be terminated within a reasonable period. If there is no such expectation, parties are entitled to terminate the Conditions and/or the Agreements in accordance with the applicable legislation and regulations, without liability.
13. Written form, applicable law and jurisdiction
8.1 All the declarations transmitted in connection with the use of the website must be made in writing. This may be done by sending an e-mail.
8.2 All details in this terms and condition will be upheld where you are an individual, organization or company that is signing up with the MusicJuice program.
14. Arguments
13.1 By Using the MusicJuice program, if there ever happen to be any arguments in terms of revenue share between Artist and other discrepences, MusicJuice will have the final say on these matters and shall settle the situation and all Artists and/or parties involved must comply by what MusicJuice decides.
15. Additional terms
14.1 Should individual provisions of these conditions of use be or become void or ineffective and/or conflict with legal provisions, then this will not affect the validity of any other conditions of use. The ineffective provisions shall be replaced by the parties to this agreement by provisions that best meet the economic purpose of the ineffective provisions in a legally effective way. This shall correspondingly apply to any missing provisions.

MusicJuice and its subsidiaries respect the private sphere of artists, users, and interested parties (hereinafter called “users”) who visit the website at the Internet address www.MusicJuice.net. MusicJuice therefore agrees to respect your private sphere and the confidentiality of your personal data and data transfers in compliance with the provisions of data protection laws.
The purpose of this policy is to help you understand how MusicJuice uses and protects your personal data.
MusicJuice is registered in Canada under MusicJuice Inc and has a branch office at Toronto, Ontario.

For registration purposes the corresponding form for granting the agreement will be made available. This form must be signed by the legal representative of the users and be returned to MusicJuice by e-mail.

MusicJuice reserves the right to transfer personal information to a legal successor who acquires the right to use such information in case MusicJuice or essential assets of MusicJuice are sold.
MusicJuice will take the appropriate organisational and technical measures for protecting personal information, and MusicJuice shall store personal information only as long as necessary to carry out its activities and to meet the legal requirements in force.
MusicJuice reserves the right to modify the data protection measures and the present privacy policy should it become necessary. We shall notify you on any changes on our website.
Should you wish to exert your right of viewing, correcting, terminating or removing any personal information, please contact MusicJuice. MusicJuice will meet your request in a reasonable period of time and after proof of your identity provided that MusicJuice does not infringe any legal provisions by doing so.
1. Subject matter of the agreement
The subject matter of this agreement is the use of the Sponsor Overview and Profile Page of the website www.MusicJuice.net by the Sponsor.
2. Sponsor's rights
The parties' rights and obligations from this agreement are linked to the general terms and conditions of use and the privacy policy.
2.1 The Sponsor is entitled to use the Sponsor Overview and Profile Page on the website www.MusicJuice.net and all the contents of the website in compliance of the terms and conditions of use. MusicJuice will not charge the Sponsor for such use.
2.2 The Sponsor decides whether he/she will purchase a Part of one or several artists whose music titles are published on the website. The value of a Regular Part is $10 CAD for CD creation or regular part is $15 CAD for Tour creation. The Value of a Premium Part is $20 CAD for CD creation or $25 for Tour creation. The Sponsor is entitled to purchase any number of Parts, up to 10000, of an Artist for CD creation and/or 10,000 parts for Tour creation. Once the sponsor purchases a part the value of that part can not be refunded. The select Artist that you have purchased the part from you can not take back or change to other artist's parts once you have made the purchased.
2.3 The Goal has been reached when 10,000 Parts for CD/ 10,000 Parts for Tour of an Artist have been purchased by one or more Sponsors, meaning that the budget of $100,000 CAD for CD/$150,000 budget for Tour have been reached. The addition funding from the premium part purchase difference will be used to create videoconference, voting capability and other resources needed to provide the Sponsor with the full executive producer experience during the CD/Tour creation process.
2.4 When the Goal is reached MusicJuice will produce a CD/Tour DVD with the Artist. The Sponsor will receive a special edition of the CD/DVD for each Part he/she purchased of this Artist.
2.5 Besides the special edition of the CD/DVD as mentioned under Section 2.4, MusicJuice will produce a regular edition of the CD/DVD. The Sponsors involved are together entitled to 1/3 (one third) of all net revenues made by music sales from the CD creation/Tour Ticket Sales and Tour DVD sales for Tour creation. This includes both sales of downloads and physical products and fees received by MusicJuice for licensing the master for the use of Artist's music in for example, but not limited to, movies and commercials. The rule applies to sales through the website www.MusicJuice.net and third parties. The share of these revenues for the Sponsors will be split pro rata according to the number of parts of the Artist the Sponsor has purchased.
2.6 MusicJuice will make available a minimum of three titles of the Artist's music production as free downloads on the website www.MusicJuice.net.
2.7 The advertisement proceeds generated on the website will be credited to the Artists corresponding with the number of free downloads related to their music titles in relation to the total number of downloads. The resulting amount will be distributed between the Artist, the Sponsors of this Artist and MusicJuice, in equal parts. The share of these revenues for the Sponsors will be split pro rata according to the number of parts of this Artist the Sponsor has purchased.
2.8 The Sponsor has the right on aforementioned revenues as long as MusicJuice has the exploitation rights of Artist's CD, with a minimum of twenty four (24) months (of which 12 exclusive and 12 non exclusive) after the release of the CD.
2.9 Remunerations due to the Sponsor on the basis of this section are credited to Sponsors Balance on MusicJuice at the end of each calendar quarter. An overview of all revenues is available on the Sponsor Overview page.
2.10 At all times, under the condition that the Sponsor Balance has a value of more than $1, a Sponsor can withdraw money from his/her Sponsor Balance and transfer it back to his/her own bank account or credit card. A Sponsor can withdraw money by clicking on the 'Pay Out' button on his Sponsor Overview page. The costs for a withdrawal are $1, for each withdrawal. The money will be transferred within four weeks after the request.
2.11 Taxes, Interest and/or IRS Penalties. It is hereby acknowledged by the Sponsor that the Sponsor shall be fully responsible for any and all taxes, interest and penalties arising from receipt by Sponsor of any remuneration from MusicJuice. In addition to the general indemnification granted elsewhere by Sponsor to MusicJuice, Sponsor hereby agrees to indemnify and hold MusicJuice, its officers, directors, shareholders, predecessors, successors- in–interest, employees, agents, subsidiaries and affiliates, harmless from any demands, any withholding tax on capital, loss, liability claims or expenses (including attorneys' fees), made against MusicJuice by any third party due to, or arising out of or in connection with, Sponsor's uses of the Site.
3. Sponsor's obligations
3.1 The Sponsor agrees to fill in the registration form completely and truthfully.
3.2 The Sponsor is only entitled to register when he/she has accepted the terms of use and the privacy policy. The Sponsor warrants that he/she is authorised to conclude this agreement and indemnifies MusicJuice against all claims of third parties resulting from the lack of such authorisation
3.3 The Sponsor agrees to answer and to document any questions MusicJuice may have in relation to registration issues.
3.4 The Sponsor agrees to immediately pay the amount of 10 CAD (CD)/15 CAD (Tour) for regular part/ 20 CAD (CD)/25 CAD (Tour) for premium part to MusicJuice when purchasing a Part. Payment can be made by credit card, paypal and, where available, electronic banking.
3.5 The Sponsor herewith agrees to handle the payment transfer via an Internet payment system.
4. Rights and obligations of MusicJuice
4.1 MusicJuice agrees to administer separately from MusicJuice's assets any payments received from the Sponsor until the Goal has been reached.
4.2 After the Goal has been reached for a specific Artist, MusicJuice alone is authorised to dispose of the budget. MusicJuice will use the budget of 100,000 CAD for the production of the CD/150,000 CAD for the production of the Tour with the artist and will use third party services to that end.
4.3 MusicJuice agrees to produce 10,000 units of the CD for CD creation/10,000 units of the Tour DVD for the Tour creation as a special edition.
4.4 Apart from the special edition of the CD, MusicJuice will produce a regular edition of the CD at cost price.
4.5 All rights in the titles on the CD, including intellectual and commercial property rights as well as master and copying rights and comparable rights are MusicJuice's rights exclusively.
4.6 MusicJuice shall keep strictly confidential any data concerning the Sponsor that is marked as confidential. Besides, the supplementary provisions of the privacy policy shall apply.
5. Protection of intellectual property
5.1 The Sponsor agrees not to infringe the intellectual property in relation to brands, trade names, trade marks, copyrights of MusicJuice, and notably the program and the website, and not to distribute, modify, reproduce or use in another way the brands, designs and copyrights.
5.2 All the brands and trademarks that are possibly protected by third parties and are mentioned on the Internet offer are unrestrictedly subject to the provisions of the labelling and property laws in force.
6. Termination of the agreement
6.1 The Sponsor may terminate this agreement at any time without indication of reasons.
6.2 MusicJuice may terminate this agreement without notice or warning In case the Sponsor has not truthfully filled in the registration form, In case the Sponsor is in default despite of a warning and does not remedy the fault within an appropriate period of time, And for important reasons, especially in case of an infringement of the agreement or the conditions of use.
6.3 Should the agreement be terminated before reaching of the goal, the Sponsor is entitled to repayment of the amount that the Sponsor has paid for one or several artists, less the costs incurred for each individual Part.
6.4 Sponsors have to keep their account active to receive their income. Payments to the Sponsor are made according to Para 2.9.
7. Liability / exemption from liability
7.1 Either party warrants to indemnify the other party against third party claims that are brought forward as a result of grossly negligent or intentional misrepresentations by the warranting party in relation to any service promises under this agreement or the conditions of use.
7.2 MusicJuice is not liable for the non-accessibility of the MusicJuice website (www.MusicJuice.net) or associated websites such as the artist's website, irrespective of the reasons of such non-accessibility.
7.3 MusicJuice will use its best effort to ensure timely delivery of the creation of the CD and/or Tour creation. However can not be held liable for delays or failure to deliver with the obligation of Para. 4 as it responsibility of the Artist to have these completed in guidance only by MusicJuice.
7.4 Any failure to deliver the product it is the liability of the Artist and not of MusicJuice. If the Artist fails to complete the CD/Tour MusicJuice is not liable for any financial claims related to this matter.
8. Written form, applicable law and jurisdiction
8.1 All the declarations transmitted in connection with the use of the website must be made in writing. This may be done by sending an e-mail.
8.2 All details in this terms and condition will be upheld where you are an individual, organization or company that is signing up with the MusicJuice program.
9. Validity of the agreement
9.1 Should individual provisions of this agreement be or become void or ineffective and/or conflict with legal provisions, then this will not affect the validity of any other conditions of use. The ineffective provisions shall be replaced by the parties to this agreement by provisions that best meet the economic purpose of the ineffective provisions in a legally effective way. This shall correspondingly apply to any missing provisions.
